Member Terms and Conditions

Himalayan Green Pvt. Ltd, hereafter mentioned as "Himalayan Green", its website https://www.himaligreen.com and associate "Himalayan Green Member App" facilitate to buy and sell goods deemed appropriate by the company. Throughout the suite of our terms and conditions comprising of:

the use of word "Client" refers to the person, organization, or any other entity that is registered (or is trying to register) to Himalayan Green to buy the products listed on our platform. The word "customer"(s), if found, should be interpreted as the synonym of "client" as described above.

The use of the word "member"(s) refers to the person, organization, or any other entity that is registered (or is trying to register) to Himalayan Green to sell the products listed on our platform. The word "vendor"(s), if found, should be interpreted as the synonym of "member" as described above.

The use of word "user"(s) refers to the person, organization, or any other entity who visits or hyperlinks to the Himalayan Green website or Himalayan Green Member App. A member, therefore, subsumes the terms of both "Member" and "User". Likewise, a client, therefore, subsumes the terms of both "Client" and "User".

The use of phrase "Himalayan Green Marketplace" refers to the collection of digital assets including the Himalayan Green website and the "Himalayan Green Member App" that enable buying and selling goods.

This document concerns Member Terms. In this document, "We, Our/s, Us'' refers to Himalayan Green, and "You, Your/s" refers to the concerned member. As a member, you agree to the following articles:

  1. Information Collection
    1. You are responsible for providing Himalayan Green Pvt. Ltd. with correct personal and business details that include your business name, Personal Account /Identification Number (PAN), phone, email, contact address, and bank details. When any of your personal and business details are updated, you are obliged to notify us of your updated information.
    2. You approve storing information mentioned in 1. a.
  2. Products
    1. All the information given about a product when creating or editing it must be correct, any false information will be taken seriously and non-ethical entries (whatever the reason) you will be responsible for the breaches of our governing law.
    2. You ensure that all the products you post/manage/ listed on Himalayan Green Marketplace are harvested, processed, and packaged in a hygienic, safe, and environmentally conscious manner. For all the raw materials you use, or your collected materials are your responsibility.
    3. You ensure that all of your products and the raw materials used are harvesting from a natural source and they have been harvested sustainably.
    4. You are aware that all of your products and the raw materials used in your products are safe and from a natural source, false or fake items listings will result immediate termination of your membership and potential legal charges for any damages.
  3. Employees
    1. You ensure that the employees involved in the production of your products and their raw materials are compensated with benefits and wages above the national minimum pay.
    2. You promise that the mental health of the employees aforementioned is in no way compromised because of the work associated with you.
  4. Packaging and Delivery
    1. You can arrange your own appropriate delivery channel, or you may choose free vendor supply/ delivery from the provided app.
    2. You understand that the delivery of the ordered goods/ items you can't deliver by yourself than we Himalayan Green will forward it to our logistic partner/delivery providers, which may not be owned by Himalayan Green.
    3. In the term "Delivery Service Provider" or "Logistics Provider" should be interpreted to mean the entity that handles the delivery of goods ordered in Himalayan Green in such case delivery partners will be liable to manage goods and items under their own policy and rates.
    4. You will prioritize bio-degradable, recyclable, and eco-friendly materials in the packaging of your products. You will make sure if any extra packaging may be applied by the delivery service provider, in such case you may be charred additionally.
    5. If you are located inside the service area of the Logistics Provider, the ordered item/s will be picked up from your business location.
    6. If you are located outside the service area of the Logistics Provider, you are required to drop the ordered item with proper packaging at the Logistics Provider collection center. In such a case, you will make arrangements to drop the item/s as soon as possible.
  5. Refunds and Cancellation
    1. You understand that item order which are not sold or out of stock may be canceled at any time. You will make sure that an order is confirmed.
    2. Client/ customer has a right to ask for a refund for an order until certain time of delivery. All refund requests will be handled by Himalayan Green Pvt. Ltd by discussing with the necessary parties which may include the Client, Member, and Logistics Provider.
    3. The concerned parties will be refunded the amount based on the consensus, reached through the discussion.
    4. If a consensus is not reached, Himalayan Green will take decision on behalf of all the parties as it seem justice for all.
    5. If a refund request is made by the client, claiming a damaged, expired, and/or fake product, an inspection will be done by Himalayan Green of the true situation. If you're found guilty, you'll be held liable for all the consequences of the action including financial losses and every legal costs.
  6. Payment and Fees
    1. Himalayan Green may charge up to 20% sales and service charges for the use of Himalayan Green Marketplace and transactions.
    2. The charge will be including any transactional/banking costs
    3. The exact figure of the service fee will be negotiated to you prior to become a member, and if any changes will be notified before it takes place.
    4. When this figure gets updated, you will be made aware of the update. After the update, a new service fee will be applied for only new orders i.e. orders created henceforth.
    5. Earning from each order, after deducing the service charges, will be saved on your "Digital Account" in Himalayan Green. From here on, "Digital Account" should be interpreted to mean the entity that displays your transactions in Himalayan Green.
    6. This functionality will be available on the Himalayan Green Member App.
    7. Your sales amount will be reflected within a week from the time order is delivered to the client. You may request to withdraw this balance to your bank account when your balance is above a certain threshold.
    8. You will be required to pay the banking transfer fees if any.
    9. In a refund request made by the client and find eligible to be refunded, your funds from your account will be deducted.
    10. In some cases, Himalayan Green will make the payment to the client "immediate refund" the charges will be applied to your account.
    11. If the balance in your Digital Account is negative, it means that you owe that money to Himalayan Green. In such a case, you will be asked for instructions on the procedure to make a payment.
  7. Non Disclosure
    1. You will not disclose any customer information to any third party other than Himalayan Green Service related or otherwise by law.
  8. Breaches of the aforementioned terms may lead to the termination of your membership and services. Himalayan Green Pvt. Ltd will keep the right to govern the Service of Restriction.
  9. This Terms and Conditions (Agreement) regulates as a relevant contract and binding service Agreement, /MOU under the contract act of Nepal, in between "You" the Second (Party/s)/Registered Member/ Vendor/s and "We" Himalayan Green Pvt. Ltd Nepal.
